These terms govern use of the B2BLIX Price Aggregators Service, describing responsibilities, costs, limitations, termination conditions, and integration with data sources. Ensure you understand service controls, pricing, liabilities, and compliance before use.
1. Introduction and relationship to the general terms
These Terms of Service for B2BLIX Price Aggregators (the “Aggregator Terms”) are additional Service Terms governing the Customer’s access to and use of the B2BLIX Price Aggregators service (the “Aggregator Service”).
These Aggregator Terms supplement and form part of the B2BLIX General Terms of Service (the “General Terms”). Capitalized terms not defined in these Aggregator Terms have the meanings assigned to them in the General Terms.
The Customer accepts these Aggregator Terms by activating the Aggregator Service, clicking an acceptance control, purchasing or enabling a related subscription, or otherwise using the Aggregator Service. The person accepting these Aggregator Terms confirms that they are authorized to bind the Customer.
If the Customer does not agree to these Aggregator Terms, it must not activate or use the Aggregator Service.
If these Aggregator Terms conflict with the General Terms regarding the Aggregator Service, these Aggregator Terms take priority only to the extent of that conflict. The General Terms continue to apply to all matters not specifically addressed here.
2. Description of the aggregator service
B2BLIX Price Aggregators is a self-service, business-to-business software service for competitor-price monitoring and seller-controlled price calculation.
The Aggregator Service allows the Customer to select supported price-comparison platforms as external market-data sources, submit Customer-defined search queries, process publicly available result cards, configure comparison and pricing rules, calculate suggested prices, and generate or transmit outputs for the Customer’s own product catalog.
Each Price Synchronization created by the Customer operates independently and connects one selected data source with its own imported products, queries, monitoring schedules, calculation settings, seller settings, filters, export settings, integrations, and reports.
Results from separate Price Synchronizations or separate source platforms are not automatically combined into a single market price.
The precise sources, functions, import formats, export formats, integrations, schedules, pricing classifications, and interfaces available to the Customer may change and may depend on the Customer’s Subscription Plan, account configuration, technical compatibility, and source availability.
3. Independent service and third-party platforms
B2BLIX is an independent software provider. Unless expressly stated otherwise, B2BLIX is not affiliated with, authorized by, endorsed by, sponsored by, or acting on behalf of any price-comparison platform, online store, seller, marketplace, integration provider, or other third party referenced by the Aggregator Service.
B2BLIX does not control any third-party source platform, its search functionality, result ordering, product grouping, advertising placements, sponsored results, seller information, prices, availability, technical restrictions, access rules, rate limits, or continued operation.
A supported source may change its website, search results, technical structure, access conditions, displayed information, or business rules at any time and without notice to B2BLIX or the Customer.
B2BLIX may modify, restrict, suspend, replace, or discontinue support for any source or integration where reasonably necessary because of technical changes, blocking, source restrictions, legal concerns, security risks, commercial considerations, or other operational reasons.
4. Customer responsibility for search queries
The Customer is solely responsible for every search query, product-page URL, identifier, keyword, product title, EAN, SKU, MPN, phrase, or other search instruction submitted through the Aggregator Service.
Subject to the General Terms and applicable law, the Customer determines the content of each query. B2BLIX generally checks only whether a required query value is present. B2BLIX does not guarantee that it will rewrite, correct, optimize, translate, validate, expand, or replace an unsuitable query.
The Customer is solely responsible for determining whether:
- the query relates to the intended product, model, variation, condition, market, and source;
- the query is sufficiently specific and commercially appropriate;
- the query and its use comply with applicable law and the relevant source platform’s terms;
- the returned result cards are comparable with the Customer’s product;
- the correct seller, store, product, and price have been identified; and
- the query should continue to be used after a source changes its search behavior or content.
The Customer should test each query directly on the selected source and review the resulting information through the available B2BLIX interfaces before enabling automated calculations or exports.
B2BLIX is not responsible if a query returns the wrong product, a different model or variant, an accessory, a refurbished or used item, a sponsored result, an unrelated result, incomplete results, duplicate results, misleading results, or no results.
5. Search results and collected data
The Aggregator Service processes public result cards and other information made available by the selected source in response to the Customer’s query.
Depending on the source and its current technical structure, collected information may include product titles, displayed prices, images, links, seller or store names, seller links, positions, availability indicators, and timestamps.
B2BLIX does not perform or guarantee semantic product matching and does not independently confirm that returned result cards represent the same product, model, variant, size, condition, package, or commercial offer.
B2BLIX does not independently verify:
- the accuracy, completeness, legality, or currency of source information;
- whether every relevant seller or offer has been returned;
- whether the first result is the lowest available price in the market;
- whether displayed prices include VAT, delivery, service charges, or other costs;
- whether a discount, coupon, membership price, promotion, or financing condition applies;
- whether the displayed product is in stock or available for delivery;
- whether a seller name or store domain has been correctly identified;
- whether the source has omitted, promoted, demoted, or reordered a result; or
- whether the collected information is suitable for the Customer’s pricing decisions.
Displayed prices are processed as public numeric values in the currency presented by the selected source. Unless expressly stated otherwise in the application, the Aggregator Service does not independently convert currencies or determine the correct VAT or tax treatment of an offer.
The Customer is responsible for using the Aggregator Service within an appropriate currency, tax, product, and market context.
6. B2BLIX buybox terminology
The Aggregator Service may use terms such as “BuyBox”, “BuyBox price”, “BuyBox position”, “If seller”, “If not seller”, or similar terminology.
In the Aggregator Service, this terminology describes B2BLIX’s internal comparison and calculation model applied to selected source result cards.
It does not mean that the price-comparison platform operates an official marketplace BuyBox, has selected the Customer as a winner, or has approved or recommended any calculated price.
B2BLIX does not guarantee that the Customer will obtain or retain any particular result position, including Top 1, Top 3, Top 10, or first-page placement.
7. Customer-controlled comparison and calculation settings
The Customer is solely responsible for configuring and maintaining all settings used by the Aggregator Service, including:
- the selected price-comparison source;
- product identifiers, variants, and search queries;
- the Customer’s seller name or store domain;
- preferred sellers and excluded sellers;
- skipped leading offers and selected target positions;
- base prices, minimum prices, and maximum prices;
- price steps, floors, strategies, and fallback behavior;
- data-freshness periods;
- monitoring, import, synchronization, and export frequencies;
- output formats and integration settings; and
- soft limits, hard limits, and other usage controls.
The Customer is solely responsible for understanding how each configuration affects calculations, outputs, product prices, usage, and charges.
B2BLIX may provide documentation, interface explanations, examples, previews, schemas, simulations, or support information. Such materials are provided for convenience only and do not transfer responsibility for configuration or business decisions to B2BLIX.
8. Minimum and maximum prices
The Customer is solely responsible for calculating, supplying, reviewing, and maintaining the minimum and maximum prices for every product that may be repriced.
The Customer must ensure that each minimum price adequately protects its purchase costs, taxes, fees, delivery expenses, platform commissions, payment costs, operational costs, contractual obligations, and required margin.
Where the required minimum or maximum price is missing, invalid, inconsistent, or unavailable, the Aggregator Service may exclude the product from automatic price adjustment, return the imported base price, produce no calculated price, or apply another fallback displayed in the application.
Price limits are software controls based on Customer Data. They do not constitute a guarantee against loss, incorrect pricing, data errors, integration errors, delayed updates, or Customer misconfiguration.
The Customer must independently review calculated prices and outputs before using them in a live store or other production environment.
9. Monitoring frequency and scheduling
The Customer is solely responsible for selecting the monitoring frequency for each Price Synchronization and product.
A higher monitoring-frequency value generally causes the Aggregator Service to attempt data collection more frequently and therefore normally creates greater usage and higher charges.
A product-level frequency may override the default frequency of the relevant Price Synchronization. Where a submitted frequency is unsupported, the Aggregator Service may normalize or adjust it to a supported value.
Monitoring frequency, import frequency, synchronization frequency, and export frequency are separate settings and may create separate processes.
All displayed or configured schedules are targets rather than guarantees. B2BLIX does not guarantee that monitoring, import, calculation, synchronization, or export will occur at an exact time or interval.
Execution may be delayed, skipped, retried, restricted, or unavailable because of queues, maintenance, account status, data volume, source availability, blocking, throttling, connectivity problems, technical changes, integration failures, security measures, or other circumstances.
10. Chargeable data-collection operations
The Aggregator Service uses usage-based charging for public-data collection in addition to any applicable recurring subscription fee.
Each product check performed for each selected source or Price Synchronization is an independent data-collection operation.
Monitoring the same product through multiple sources or multiple Price Synchronizations creates multiple independent operations and corresponding usage.
A data-collection operation is chargeable when the selected source technically responds to the submitted query and the operation is classified by the Aggregator Service as a successful collection.
A technically successful operation remains chargeable even when:
- the source returns zero product cards;
- the returned cards are irrelevant to the intended product;
- the returned cards contain a different model, variant, seller, or condition;
- the Customer considers the results incomplete, inaccurate, or commercially unusable;
- the Customer’s own offer is not found;
- no suitable comparison target can be selected;
- the calculation falls back to the Customer’s base price; or
- the Customer later decides that the query or configuration was unsuitable.
A zero-result response is not a technical collection failure. It means that the source responded to the Customer’s query but did not return usable result cards. The operation therefore creates chargeable usage.
11. Non-chargeable technical failures
A data-collection attempt is not charged as a successful collection where B2BLIX does not receive a usable source response and the attempt is classified by the Aggregator Service as a technical failure.
Technical failures may include:
- a request blocked by the source platform;
- a source timeout or connectivity failure;
- source unavailability;
- throttling or access restrictions preventing collection;
- an internal collection error preventing a usable response; or
- another unsuccessful condition classified as a technical failure in B2BLIX’s system records.
B2BLIX’s technical logs, metering records, and failure classification determine whether an operation was technically successful, chargeable, or unsuccessful, except in the case of a manifest technical error.
A non-chargeable technical failure does not create any obligation for B2BLIX to compensate the Customer, provide a service credit, recover missed data, repeat an operation at a specific time, or reimburse any related business loss.
12. Pricing, credits, and usage records
The Aggregator Service may use recurring subscription fees, pay-as-you-go charges, credits, usage units, standard or premium source classifications, minimum commitments, or a combination of these pricing methods.
Different sources may use different rates. A “standard” or “premium” classification is a pricing classification and does not represent a guarantee of better data, increased relevance, improved accuracy, or a different calculation algorithm.
Any prices, examples, estimates, calculators, projections, credit values, or cost illustrations shown outside the application are approximate and may become outdated.
The Customer must review the current price list, source classification, applicable rates, and billing information displayed inside the B2BLIX application before enabling or changing the Aggregator Service.
The current pricing and usage information displayed in the Customer’s account, together with B2BLIX’s usage records, determines the applicable charges unless a signed written agreement states otherwise.
B2BLIX may change rates, source classifications, usage units, included allowances, or other pricing elements as permitted by the General Terms.
13. Spending limits and cost control
The Customer is solely responsible for monitoring and controlling the costs created by its product volume, selected sources, number of Price Synchronizations, monitoring frequencies, configurations, and usage.
The Aggregator Service may provide soft spending limits, hard spending limits, notifications, estimates, and usage summaries as convenience tools.
A soft limit may generate a notification when recorded usage approaches or reaches the configured amount. A hard limit may stop further chargeable collection after the relevant limit is processed by the system.
Spending controls are not guarantees. Notifications may be delayed, filtered, missed, or delivered after additional usage has occurred. A hard limit may not stop operations that are already processing, queued, recorded late, or completed before the limit was applied.
Processing, metering, synchronization, source-response, or payment-provider delays may cause charges to appear after the underlying activity occurred.
The Customer remains responsible for all usage incurred before a suspension, cancellation, or effective hard-limit stop, including usage recorded or invoiced later.
14. Subscription, Stripe billing, and cancellation
Access to the Aggregator Service may require an active recurring subscription managed through Stripe or another payment provider approved by B2BLIX.
The applicable subscription fee is separate from any usage-based or pay-as-you-go charges unless the current Subscription Plan expressly states otherwise.
The Customer authorizes B2BLIX and the applicable payment provider to charge the selected payment method for recurring subscription fees, usage-based charges, taxes, and other amounts due under the applicable agreement.
The subscription billing cycle is displayed in the application or Stripe billing interface. In most cases, the Aggregator Service renews and is invoiced on or around the first calendar day of each month, but a different renewal date may apply to a particular account.
If the Customer cancels the Aggregator Service during an active billing cycle, cancellation normally takes effect on the next renewal date. The Customer may continue to access the Aggregator Service until that date, subject to payment status and compliance with the applicable agreement.
Cancellation does not waive or cancel any amount already accrued. The Customer remains responsible for the final invoice, including:
- the applicable subscription fee for the current billing period;
- all usage incurred before the effective cancellation date;
- usage processed, measured, or reported after cancellation but incurred before it became effective;
- applicable taxes; and
- any other outstanding amount due under the applicable agreement.
Unless required by mandatory law or expressly agreed otherwise in writing, subscription fees, usage charges, credits, and unused portions of a billing period are non-refundable and non-creditable.
Deactivating a Price Synchronization, removing products, reducing frequency, disconnecting an integration, or ceasing to use the interface does not by itself cancel the Aggregator Service subscription. The Customer must complete the available cancellation process.
Failed payments, expired payment methods, chargebacks, overdue invoices, or inability to collect an amount due may result in immediate restriction or suspension of the Aggregator Service.
15. Calculated prices, outputs, and integrations
Calculated prices, suggested prices, reports, XML files, API transmissions, store updates, integrations, and other outputs are generated from Customer Data, Customer-selected settings, and third-party source data.
The Customer is solely responsible for reviewing and approving every output before relying on it or permitting it to affect a live store, product listing, price, promotion, or customer transaction.
Where the Customer enables an automatic export or store integration, the Customer authorizes the Aggregator Service to transmit calculated outputs according to the Customer’s configuration.
The Customer accepts all risks associated with automatic publication or transmission, including incorrect prices, delayed updates, partial updates, duplicate updates, failed updates, overwritten values, incompatible formats, outdated observations, and actions taken by third-party systems.
A successful transmission by B2BLIX does not guarantee that the receiving platform has received, accepted, displayed, processed, or applied the transmitted value correctly.
The Customer must maintain independent backups, source data, rollback procedures, internal approvals, and appropriate monitoring of its live store and integrations.
16. Testing and safe rollout
Before enabling wide-scale monitoring, automatic calculation, or automatic export, the Customer should:
- begin with a limited number of products and one selected source;
- test each query directly on the relevant source;
- confirm the relevance of returned result cards and seller names;
- verify base, minimum, and maximum prices;
- review seller filters, skipped positions, and target positions;
- select an appropriate monitoring frequency;
- review calculations through Product Checker or another available interface;
- inspect generated files and integration outputs; and
- expand usage only after the Customer understands the resulting data, prices, usage, and costs.
Failure to test, review, or gradually roll out the Aggregator Service does not transfer responsibility to B2BLIX.
17. No performance or commercial guarantees
B2BLIX does not guarantee that use of the Aggregator Service will:
- identify the correct product or every comparable offer;
- identify the lowest price available in the market;
- detect every seller, promotion, discount, or availability change;
- produce an accurate or commercially suitable price;
- prevent pricing errors or losses;
- maintain any comparison-platform position;
- increase visits, conversions, orders, sales, revenue, margin, or profit;
- reduce costs or produce savings;
- make the Customer’s offer the cheapest or most competitive offer;
- cause a third-party platform to display or rank the Customer’s offer; or
- remain compatible with a third-party source, store, or integration.
The Customer acknowledges that price is only one possible commercial factor and that third-party platforms may use criteria, algorithms, advertising systems, and business rules that are unknown to or outside the control of B2BLIX.
18. Service provided “as is” and “as available”
To the fullest extent permitted by applicable law, the Aggregator Service, all collected data, monitoring results, classifications, seller detections, calculations, suggested prices, reports, exports, integrations, and other outputs are provided “as is” and “as available”, with all faults and without warranties of any kind.
B2BLIX disclaims all express, implied, statutory, and other warranties, including warranties of accuracy, completeness, timeliness, reliability, availability, merchantability, fitness for a particular purpose, title, compatibility, non-infringement, and commercial results.
B2BLIX does not warrant or guarantee that:
- the Aggregator Service will be uninterrupted, timely, secure, or error-free;
- monitoring or synchronization will occur at the configured time;
- a source will remain accessible or supported;
- source data will be accurate, complete, relevant, current, or comparable;
- search results will contain the Customer’s product or offer;
- calculations or outputs will be correct or suitable;
- errors, delays, blocking, throttling, data loss, or integration failures will be corrected;
- any output will be accepted or applied by a third party; or
- the Aggregator Service will meet the Customer’s requirements or expectations.
The Customer uses the Aggregator Service, collected data, calculated prices, exports, and integrations entirely at its own risk.
19. Limitation of liability
The warranty disclaimers, exclusions of damages, liability limitations, liability cap, claim period, and indemnification obligations contained in the General Terms apply fully to the Aggregator Service.
Without limiting the General Terms, to the fullest extent permitted by applicable law, B2BLIX and its affiliates, officers, employees, agents, contractors, licensors, and service providers are not liable for:
- incorrect, irrelevant, incomplete, delayed, or unavailable source data;
- unsuitable or unlawful Customer queries;
- incorrect seller identification or product matching;
- incorrect, delayed, missing, or duplicated calculations or outputs;
- prices published, transmitted, accepted, rejected, or displayed by a third party;
- pricing below cost, reduced margin, incorrect tax treatment, or commercial loss;
- source blocking, throttling, changes, outages, restrictions, or discontinuation;
- failed, delayed, partial, or incompatible integrations;
- unexpected usage, credits, subscription fees, or pay-as-you-go charges resulting from Customer settings;
- failure of a soft limit, hard limit, notification, estimate, or usage display;
- loss of products, data, settings, reports, generated files, or business records;
- third-party claims relating to the Customer’s products, prices, listings, or commercial conduct; or
- any loss of revenue, profit, sales, customers, opportunities, goodwill, reputation, data, or anticipated savings.
The Customer remains solely responsible for all pricing, publication, product, tax, competition, consumer-protection, contractual, and commercial decisions made using the Aggregator Service.
20. Suspension and termination
In addition to the suspension and termination rights set out in the General Terms, B2BLIX may restrict, suspend, or terminate the Aggregator Service or an individual source or Price Synchronization where:
- payment is overdue or a payment method fails;
- the Customer exceeds or attempts to avoid applicable usage restrictions;
- the Customer uses the Aggregator Service unlawfully or in breach of third-party rights;
- the Customer’s configuration creates a security, technical, legal, or operational risk;
- a source blocks, restricts, objects to, or prevents continued collection;
- a source or integration becomes unavailable, incompatible, or commercially impracticable;
- B2BLIX is required to do so by law, authority, court, arbitrator, or service provider; or
- the Customer otherwise breaches these Aggregator Terms or the General Terms.
Suspension or termination does not cancel accrued subscription fees, usage charges, taxes, final invoices, or any other payment obligation.
The Customer is responsible for downloading any required reports, files, or other available data before cancellation or termination becomes effective.
After termination, B2BLIX may disable access to the Aggregator Service and delete or anonymize related Customer Data according to the General Terms, Privacy Policy, applicable retention periods, and legal obligations.
21. Privacy and data processing
Data processed through the Aggregator Service is handled in accordance with the B2BLIX Privacy Policy, the General Terms, and any applicable data processing agreement.
The Customer authorizes B2BLIX and its subprocessors to process search queries, product information, settings, source results, seller information, usage records, reports, outputs, and technical logs as reasonably necessary to provide, secure, maintain, meter, support, and improve the Aggregator Service.
The Customer is responsible for ensuring that all Customer Data submitted through the Aggregator Service may lawfully be processed and that all required notices, permissions, and legal grounds have been obtained.
22. Changes to the aggregator service and these terms
B2BLIX may modify the Aggregator Service, available sources, integrations, functionality, technical requirements, usage measurement, pricing classifications, or these Aggregator Terms as permitted by the General Terms.
Material changes may be communicated through the B2BLIX application, by email, or by another reasonable electronic method.
Continued use of the Aggregator Service after updated Aggregator Terms become effective constitutes acceptance of those updated terms.
If the Customer does not agree to an update, it must cancel and stop using the Aggregator Service before the updated terms become effective.
23. Governing law and dispute resolution
The governing-law and dispute-resolution provisions of the General Terms apply to these Aggregator Terms and the Aggregator Service.
Accordingly, disputes must first be addressed through good-faith negotiations and, where applicable, mediation as provided in the General Terms.
If the dispute is not resolved through those procedures, it shall be finally resolved by the Riga Civil Disputes Arbitration Court in written proceedings before a single arbitrator, in accordance with the laws of the Republic of Latvia and the prevailing rules and procedures of that arbitration court.
The arbitrator’s decision shall be final and binding upon both parties, subject only to the limited court involvement permitted under the General Terms and applicable law.
